| Item 1.01. | Entry into a Material Definitive Agreement |
On December 11, 2025, Athena Funding I LLC (“Athena Funding I”) executed the Sixth Amendment to Credit Agreement (the “Amendment”), which amends that certain Credit Agreement, dated as of July 15, 2022, by and among Athena Funding I, as borrower, Société Générale, as administrative agent, State Street Bank and Trust Company, as collateral agent, collateral administrator, custodian and document custodian, and the lenders party thereto. The Amendment (i) increases the total commitment from $925,000,000 to $1,100,000,000, consisting of an increase of the total revolving loan commitment from $462,500,000 to $637,500,000, (ii) decreases the interest spread from 2.50% to 2.05%, and (iii) extends the Reinvestment Period from July 15, 2026 to December 10, 2027 and the Stated Maturity from July 15, 2034 to December 11, 2035.
